Our Terms of Service

These Terms of Service (“Terms”) govern the relationship between Redline Closing LLC (“Redline,” “we,” “our,” or “us”) and you, the client (“Client,” “you,” “your”), for the provision of sales outreach services, including but not limited to cold calling, LinkedIn messaging, and other lead generation efforts (“Services”).

By engaging Redline Closing for outreach services, you agree to be bound by the following terms.

1. Scope of Services

We provide custom outbound sales outreach services to generate leads and appointments for your business. Our services may include:

– Prospect list building
– Cold email and call campaign execution
– LinkedIn and DM outreach
– Appointment setting
– Messaging and copy optimization
– Campaign performance reporting

All services will be described in more detail in the agreed-upon service agreement or proposal.

2. Client Responsibilities

To ensure successful campaigns, you agree to:

– Provide accurate information about your business, offer, and target audience
– Grant timely access to necessary tools, domains, calendars, or email accounts for business
– Respond promptly to communication from the Redline team
– Review and approve messaging/campaign strategies if requested

Failure to cooperate or provide needed access may delay results and does not constitute a breach by Redline.

3. Payment Terms

Payment terms will be outlined in your invoice and service agreement. To summarize:

– Initial payment is due upfront, and work will not be started until it has been paid
– Recurring payments will be due monthly on your scheduled date. Please check your service agreement
– For our refund policy, please see that section in our terms of service
– All transactions will be done via ACH payment or credit. More info will be in the service agreement

We reserve the right to suspend or terminate services for non-payment.

4. Revenue Share

In addition to our flat fee, Redline Closing charges a 7.5% commission on all revenue generated as a result of our outreach efforts.

– If the revenue is one-time, Redline will receive 7.5% of the total amount
– If the revenue is monthly recurring (MMR), Redline will receive 7.5% of the first month’s payment only
– The client is responsible for notifying Redline of the conversion within 2 days of the close
– The client may take up to five days after the close to pay the commission

Failure to disclose earned revenue or failure to pay the commission may result in additional fees, penalties, or termination of services, done at our discretion.

5. Performance and Results

While we use proven strategies to generate leads, Redline makes no guarantees regarding the number of leads, booked calls, conversions, or revenue. Outreach performance depends on market conditions, your offer, and audience response.

We will provide regular updates, optimize campaigns, and offer strategic recommendations to improve performance.

6. Compliance

You agree that your offer and business comply with all relevant laws and regulations. Redline operates outreach services in accordance with CAN-SPAM, TCPA, and general outreach compliance standards. However, the client is ultimately responsible for the legality of the offer and messaging.

Redline reserves the right to reject or discontinue campaigns that:

– Involve false claims or deceptive marketing
– Target prohibited or restricted industries
– Violate outreach or spam regulations

7. Intellectual Property

You retain ownership of your brand, product, and messaging. Redline retains ownership of any proprietary systems, scripts, or processes used during service delivery. These materials are provided solely for the execution of campaigns managed by Redline on behalf of the client.

You may not copy, reuse, reproduce, distribute, or share any scripts, messages, processes, or internal systems developed by Redline without our express written consent. Any unauthorized use of our intellectual property will be considered a breach of this agreement and may result in immediate termination of services and potential legal action.

8. Confidentiality

Both parties agree to keep confidential all non-public business, marketing, and customer information shared during the course of this relationship. Redline will not disclose or sell any client or lead information to third parties.

9. Term & Termination

Unless otherwise stated in a written agreement:

– Services are billed month-to-month and may be canceled at least five business days before the next billing cycle. Please see the service agreement for exact details on how to cancel service
– Redline may terminate services at any time for breach of terms, non-payment, or unethical business practices

All outstanding fees are still due at the time of cancellation.

10. Limitation of Liability

To the fullest extent permitted by law, Redline shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or loss of business. Our total liability under these terms shall not exceed the fees we have received in the previous 30 days.

11. Return Policy

Clients may request a refund of their initial payment within seven calendar days of the payment date if they are dissatisfied with the service provided during that period.

Refunds will only be considered if:

– The request is submitted in writing within the 7-day window
– The request follows the procedures outlined in the client’s individual service agreement

All other payments, including monthly retainers and revenue share, are final and non-refundable, regardless of timing or customer satisfaction.

12. Amendments

We may update these terms at any time. Any change will be communicated to the client in a timely manner. The most current version will be available upon request or on our website. Continued use of our services after any update constitutes your acceptance of the revised terms.

13. Governing Law

These terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Dane, Wisconsin.
